Welcome to onGist. These Terms of Service ("Terms") constitute a legally binding agreement between you and onGist governing your access to and use of our platform.

By accessing or using onGist, you agree to be bound by these Terms.

1. Definitions

For the purposes of these Terms:

  • "onGist", "we", "us" or "our" refers to the onGist platform
  • "Platform" refers to our website, mobile applications, and APIs
  • "User", "you" or "your" refers to any person accessing or using the Platform
  • "Content" includes text, images, videos, audio, and other materials
  • "Account" refers to your registered user account on onGist

2. Eligibility

To use onGist, you must meet the following eligibility requirements:

  • Be at least 13 years of age
  • Have the capacity to enter into a binding contract
  • Not be prohibited from using the Platform under applicable laws
  • Provide accurate and complete registration information

3. Account Registration

You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Keep your password secure and confidential
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

4. User Content

onGist allows you to post, upload, or submit content ("User Content"). You retain ownership of your User Content but grant us a license to use it.

By posting User Content, you:

  • Grant onGist a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content
  • Represent and warrant that you own or have the right to post such content
  • Agree that your content may be viewed by other users and the public

5. Moderation and Enforcement

We reserve the right to moderate, remove, or edit any content on the Platform at our sole discretion.

6. Reputation, Trust Score, and Badges

onGist uses a reputation system to establish trust and recognize contributions.

Trust Scores are calculated based on various factors including quality of contributions
Badges are awarded for specific achievements and milestones
Reputation affects visibility and privileges on the Platform
We reserve the right to modify or reset scores at our discretion

7. Voting and Engagement Features

Users can vote on questions, answers, and other content.

By participating in voting, you agree to:

  • Vote based on quality and relevance, not personal bias
  • Not engage in vote manipulation or coordinated voting
  • Accept that vote counts may be adjusted for quality control

8. Monetization and Payments

onGist may offer monetization features for eligible creators.

Eligible creators can earn revenue through:

9. Prohibited Activities

You agree not to engage in any of the following activities:

  • Posting illegal content or content that promotes illegal activities
  • Harassment, hate speech, or discrimination
  • Spam, phishing, or malicious content
  • Impersonating others or providing false information
  • Attempting to hack, reverse engineer, or disrupt the Platform
  • Violating the rights of others

10. Intellectual Property

The Platform and its content are protected by intellectual property rights.

  • onGist name, logo, and all related marks are our trademarks
  • All content on the Platform not posted by users is our property
  • You may not copy, reproduce, or distribute our proprietary content
  • Fair use of our content is permitted with proper attribution

11. Third-Party Services

The Platform may contain links to third-party websites or services:

  • We are not responsible for third-party content or services
  • Your use of third-party services is at your own risk
  • Review the terms of third-party services before using them

12. Privacy

ON GIST SHALL NOT BE LIABLE FOR:

  • Any loss of profits, data, or business opportunities
  • Any damages arising from your use of the Platform

16. Indemnification

You agree to indemnify and hold onGist harmless from any claims, damages, or expenses arising from:

  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights

17. Changes to Terms

Your continued use of the Platform after changes constitutes acceptance of the new Terms.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Nigeria, without regard to its conflict of law provisions.
